These Terms constitute a legally binding agreement between you and L'hommage Wine Merchants LLC. We reserve the right to update or modify these Terms at any time without prior notice. L'hommage Wine Merchants operates exclusively as a business-to-business (B2B) wine importing and distribution company. Our products, pricing, and services are available solely to licensed trade professionals. By applying for a trade account, you represent and warrant that you:

• Are a licensed business operating legally within the wine, spirits, hospitality, or event industry in the United States
• Hold all required federal, state, and local licenses and permits for the purchase, resale, or service of alcoholic beverages in your jurisdiction
• Are at least 21 years of age
• Are authorized to enter into binding agreements on behalf of the business you represent

L'hommage reserves the right to verify your licensure and to approve or deny any trade account application at its sole discretion. Approval of a trade account does not guarantee product availability, minimum order fulfilment, or the establishment of an ongoing supply relationship.

All product descriptions, tasting notes, vintage information, and pricing displayed on the Site or in any trade communications are provided in good faith and are subject to change without notice. L'hommage does not guarantee the availability of any specific wine, vintage, or producer at any given time.

Prices are quoted in U.S. dollars and are exclusive of applicable taxes, duties, and shipping costs unless explicitly stated otherwise. All pricing is intended for licensed trade buyers only and is confidential. Trade partners agree not to disclose L'hommage pricing to third parties outside their immediate business operations.

We reserve the right to correct errors in pricing or product descriptions at any time prior to order confirmation. In the event of a pricing error, we will notify you and provide the option to proceed at the corrected price or to cancel the order without penalty.

All orders placed through L'hommage are subject to acceptance and availability confirmation. Submission of an order does not constitute a binding purchase agreement until explicitly confirmed in writing by L'hommage. We reserve the right to refuse, limit, or cancel any order for any reason, including but not limited to suspected fraudulent activity, licensing issues, or product unavailability.

Minimum order quantities, lead times, and fulfilment terms will be communicated on a per-order or per-account basis. L'hommage is not liable for delays caused by third-party carriers, customs or importation processing, producer shortfalls, or circumstances beyond our reasonable control.

Risk of loss and title for products pass to the buyer upon delivery to the agreed point of delivery. It is the buyer's responsibility to ensure that receipt of alcoholic beverages complies with all applicable state and local laws.

Payment terms will be established at the time of trade account approval and may vary by account. Unless otherwise agreed in writing, payment is due in full prior to or upon delivery of goods. L'hommage reserves the right to require prepayment, deposit, or credit references for new accounts or large orders.

Late payments may be subject to interest charges and may result in suspension or termination of trade account access. In the event of non-payment, L'hommage reserves the right to pursue all available legal remedies, including recovery of costs and reasonable attorney's fees.

You agree to use the Site only for lawful purposes and in a manner consistent with all applicable laws and regulations. You agree not to:

• Use the Site in any way that could damage, disable, overburden, or impair its operation
• Attempt to gain unauthorized access to any part of the Site, its servers, or any connected systems
• Reproduce, duplicate, copy, sell, or exploit any portion of the Site or its content for commercial purposes without prior written consent
• Use automated tools, bots, or scraping software to collect data from the Site
• Submit false or misleading information in any trade account application or order

L'hommage reserves the right to terminate or restrict access to the Site or any trade account at its sole discretion and without notice for violations of these Terms or for any conduct deemed harmful to L'hommage, its partners, or its operations.

All content on the Site, including but not limited to text, graphics, logos, images, tasting notes, and the overall design and layout, is the property of L'hommage Wine Merchants LLC or its content suppliers and is protected by applicable copyright, trademark, and intellectual property laws.

Nothing on the Site grants any license or right to use any L'hommage trademark, logo, or brand element without prior written permission. Requests for use of branded materials must be submitted to hommagewine@outlook.com.

The Site and all information, content, and services provided through it are offered on an "as is" and "as available" basis without warranties of any kind, either express or implied. L'hommage makes no representations or warranties regarding the accuracy, completeness, or reliability of any content on the Site, including product descriptions, tasting notes, vintage information, or pricing.

To the fullest extent permitted by applicable law, L'hommage expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, L'hommage Wine Merchants LLC, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site, any trade account, or any products purchased through L'hommage, even if advised of the possibility of such damages.

In no event shall L'hommage's total liability to you for all claims arising out of or relating to these Terms or your use of the Site exceed the total amount paid by you to L'hommage in the six (6) months preceding the claim.

The purchase, resale, and service of alcoholic beverages is subject to extensive regulation at the federal, state, and local levels in the United States. It is the sole responsibility of each trade partner to ensure full compliance with all applicable laws, licensing requirements, and regulations in their jurisdiction.

L'hommage does not provide legal advice regarding alcohol licensing or compliance. By engaging with L'hommage as a trade partner, you represent that you have obtained independent legal counsel as necessary and accept full responsibility for your compliance obligations.

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Cuyahoga County, Ohio, and you hereby consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceeding, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of thirty (30) days following written notice of the dispute.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection and use of information as described in our Privacy Policy. We do not sell, rent, or share personal information with third parties for marketing purposes.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
